Eligibility

Access to certain services on ClauseMFlow may be restricted to corporate clients, authorised representatives and users who meet eligibility requirements. By registering or submitting a request you represent that you have the authority to act on behalf of the organisation you represent and to bind that organisation to these terms.

Users must be of the legal age required in their jurisdiction to enter into a binding agreement, and for corporate accounts, users must be authorised officers or representatives of the company.

Services must be used for lawful business purposes. You may not use ClauseMFlow services to plan, commit or facilitate illegal activities or to submit documents that are fraudulent or infringe third-party rights.

Availability of specific services may vary by jurisdiction. ClauseMFlow operates from Malaysia and provides services in accordance with applicable Malaysian laws and local regulations in client jurisdictions where relevant.

Account Management

To access certain features you may be required to create an account with ClauseMFlow. You are responsible for maintaining accurate account information and safeguarding access credentials.

You must provide current, complete and accurate information when creating or updating an account. ClauseMFlow relies on the accuracy of information submitted to deliver appropriate contract support services.

Keep your account credentials secure. Notify ClauseMFlow promptly if you suspect unauthorised access. ClauseMFlow employs reasonable administrative and technical safeguards, but you remain responsible for protecting your account credentials and devices.

Accounts are personal to the authorised user or organisation and may not be transferred, sold or assigned without prior written consent from ClauseMFlow.

If you believe your account has been compromised or credentials have been disclosed, notify ClauseMFlow immediately so we can take steps to secure the account and assist with mitigation.

ClauseMFlow may suspend or restrict access to an account where there is suspected misuse, non-payment, a security incident or breach of these Terms. Suspension may be temporary pending resolution.

Scope of Services

ClauseMFlow provides professional contract support including drafting, review, negotiation support, template development, compliance checks and advisory notes. Services are advisory and intended to assist corporate clients in managing contractual risk and operational requirements. Engagement scopes are documented in service confirmations or statements of work.

ClauseMFlow may modify the scope or functionality of offered services. Material changes impacting existing engagements will be communicated to affected clients and, where necessary, implemented via written amendment to the statement of work.

ClauseMFlow aims to provide reliable service but availability may be affected by scheduled maintenance or unforeseen disruptions. Client deliverable timelines will be agreed in engagement documents and are subject to the quality and timeliness of client-supplied information.

User Rules and Acceptable Use

While using ClauseMFlow services you must comply with the following rules. Failure to comply may result in suspension or termination of access.

• Do not submit material that infringes the intellectual property rights of others or that contains unlawful content.
• Do not attempt to probe, scan, or test the vulnerability of ClauseMFlow systems or breach security or authentication measures.
• Do not reverse engineer, decompile or extract source code from tools or proprietary materials provided by ClauseMFlow.
• Use the service only for legitimate business contract activities and in compliance with applicable law and regulations.
• Do not impersonate another person or entity or provide false or misleading account information.
• Respect confidentiality obligations and do not disclose confidential outputs received from ClauseMFlow except as permitted under your agreement.
• Comply with any usage limits, payment obligations and other restrictions set out in your service agreement or plan.

User Content

User Content refers to the documents, data and materials you upload or provide to ClauseMFlow in connection with services. You retain ownership of your User Content subject to the license granted to ClauseMFlow to perform the services.

You represent that you have the rights, authority and permissions to submit User Content and that it does not violate third-party rights or applicable law.

By submitting User Content you grant ClauseMFlow a non-exclusive, limited licence to access, reproduce, process and securely store the content solely to provide contracted services, perform quality assurance and comply with legal obligations.

You are responsible for the accuracy, completeness and legality of User Content. ClauseMFlow relies on information you provide when preparing deliverables and will not be responsible for errors resulting from incomplete or inaccurate submissions.

ClauseMFlow may remove User Content that violates these Terms or applicable law. If you require deletion of content, submit a request and ClauseMFlow will respond in accordance with its data retention and legal obligations.

Intellectual Property

All intellectual property rights in ClauseMFlow proprietary methodologies, tools, templates and platform features remain the exclusive property of ClauseMFlow. Deliverables created specifically for you may be subject to ownership terms set out in the engagement agreement.

• You may not reproduce, distribute or create derivative works of ClauseMFlow proprietary materials without prior written consent.
• If deliverables include licensed third-party materials, your use of those materials will be subject to the third party's license terms.
• ClauseMFlow retains the right to use anonymised insights and non-confidential learnings for internal development and training purposes.

Paid Services

Certain ClauseMFlow services are provided for a fee. Paid services are governed by the pricing, payment and subscription terms set out in the relevant engagement documents or service order.

Fees for services are specified in proposals, quotes or statements of work. Pricing reflects the scope, complexity and resources required. Any additional work outside the agreed scope will be charged at the prevailing rates stated in the engagement documents.

Invoices are payable in the currency and within the payment terms specified in the engagement documents. Non-payment may result in suspension of services and additional recovery costs.

If you subscribe to recurring services, subscription terms, renewal mechanics and termination rights will be specified in the subscription agreement. Automatic renewal details, if any, will be clearly identified at the time of purchase.

Refund eligibility, if any, is determined by the specific service agreement and the circumstances of the engagement. ClauseMFlow assesses refund requests in light of work completed and non-recoverable costs.

Cancellation terms vary by service. Notice periods and any cancellation fees will be set out in the engagement documents. Early termination may result in invoicing for work performed to date.

Clients are responsible for any applicable taxes, duties or levies associated with the purchase of services, except for taxes based on ClauseMFlow's net revenue.

ClauseMFlow may update pricing for services. Existing engagements will be managed according to agreed terms; changes to pricing for ongoing services will be communicated in advance where practicable.

Persistent non-payment may result in suspension, termination and the pursuit of collection remedies. ClauseMFlow may charge interest on overdue amounts where permitted by law.

Professional Disclaimer

ClauseMFlow provides contract support services based on professional expertise and analysis of information supplied by clients. Our outputs do not constitute legal advice tailored to every jurisdictional nuance; clients should seek independent legal counsel where required. ClauseMFlow does not accept responsibility for decisions made by clients based on our deliverables when those decisions fall outside the scope of the engagement.

Limitation of Liability

To the extent permitted by law, ClauseMFlow's aggregate liability arising from or related to these Terms and services is limited to the fees actually paid by the client for the specific service giving rise to the liability. ClauseMFlow will not be liable for consequential, incidental, or punitive damages, loss of benefit, or loss of business opportunities arising from use of our services.

Third-Party Providers

ClauseMFlow may engage third-party providers to assist with service delivery, including technology, research and translation providers. Use of such providers is subject to confidentiality protections and appropriate contractual safeguards.

Termination

Either party may terminate an engagement in accordance with the termination provisions agreed in the statement of work. ClauseMFlow may suspend or terminate services for material breach, non-payment or where continued performance would breach applicable law.

Upon termination, you will pay for work performed up to the effective termination date and ClauseMFlow will deliver work product as required by the engagement terms, subject to payment of outstanding fees.

Privacy and Data Protection

ClauseMFlow processes personal and corporate data in accordance with its Privacy Policy. Data processing is necessary to perform contractual obligations and to provide contract support services. Security measures are implemented to protect data, but clients should avoid sharing unnecessary sensitive personal information.

Communications and Notices

Notices to ClauseMFlow should be sent to our registered address: Kampung Baru, 24300 Kerteh, Trengganu, Malaysia. Operational notices and service communications may be provided electronically. Important legal notices may be provided by registered mail where required.

Changes to Terms

ClauseMFlow may update these Terms from time to time. Material updates affecting existing clients will be notified in writing or via the account contact. Continued use of services following changes constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Parties agree to submit to the non-exclusive jurisdiction of Malaysian courts unless otherwise agreed in writing.

Dispute Resolution

Parties will attempt in good faith to resolve disputes amicably through negotiation or mediation. If unresolved, disputes may be brought before the competent courts in Malaysia in accordance with the governing law provisions.
